Duties:

• Assist in structuring, negotiating, and executing complex mergers and acquisitions and private equity transactions.
• Conduct due diligence reviews and analyze financial and legal information.
• Draft and review transaction documents, including purchase agreements, disclosure schedules, and ancillary documents.
• Advise clients on corporate governance, regulatory compliance, and other legal aspects of mergers and acquisitions and private equity deals.
• Coordinate with internal and external parties, including clients, opposing counsel, financial advisors, and regulatory agencies.
• Manage deal processes and timelines, ensuring all closing conditions are met.
• Support senior attorneys and partners in developing and maintaining client relationships.
• Provide guidance and mentorship to junior associates and legal staff.

Requirements:

• 4-6 years of experience in mergers and acquisitions and private equity transactions.
• Experience in an Am Law 100 firm.
• Admission to the Illinois Bar.

Education:

• Juris Doctor degree from an ABA-accredited law school.

Certifications:

• Admission to the Illinois Bar.

Skills:
