Job Overview:
A prominent law firm is seeking to hire highly qualified midlevel/senior associates to join its structured transactions practice group. The ideal candidate will have experience in corporate and/or finance transactions, with a preference for those with a background in structured finance and securitization. While experience with RMBS/ABS/CLO financing is highly preferred, it is not required. This position offers the opportunity to work on complex and high-profile structured transactions.
Duties:
- Work on structured finance transactions, including securitizations, RMBS, ABS, and CLO financings.
- Advise clients on corporate and finance transactions, with a particular focus on structured finance.
- Draft and negotiate transaction documents, including deal structures and financing agreements.
- Manage due diligence, closing procedures, and the execution of transactions.
- Collaborate with partners and senior associates to develop strategies for complex structured finance matters.
- Provide legal support and advice to clients on financial products and regulatory compliance.
- Contribute to business development efforts and maintain strong client relationships.
Requirements:
- Midlevel/senior associate with relevant law firm experience (typically 3-6 years).
- Strong background in corporate and finance transactions, with a preference for experience in structured finance and securitization.
- Experience in RMBS/ABS/CLO financings is preferred but not required.
- Excellent academic credentials.
- Strong drafting, analytical, and negotiation skills.
- Ability to work both independently and collaboratively within a team.
- Effective communication skills and client management abilities.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Active membership in the bar of the jurisdiction where the position is located.
Skills:
- Expertise in structured finance, securitization, and corporate finance transactions.
- Strong legal research, writing, and analytical skills.
- Experience in drafting and negotiating complex financing and transaction documents.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
